Terms and Conditions

These Terms & Conditions (“Terms”) govern all services provided by Sansone Advisory Group LLC DBA VaBeachTech (“VaBeachTech,” “we,” “our,” or “us”).
By using our services, submitting payment for an invoice, or entering into any agreement with VaBeachTech, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms.

VaBeachTech may update these Terms at any time. Continued use of our services constitutes acceptance of any revisions.

Definitions

  • Client: The individual or business receiving services from VaBeachTech.

  • Endpoint: Any workstation, laptop, server, mobile device, or hardware managed or supported by VaBeachTech.

  • Managed Services: Ongoing, subscription-based IT services such as monitoring, antivirus, patching, backups, and user support.

  • Project Work: Non-recurring technical work, installations, migrations, or consulting.

  • Third-Party Services: Products or services provided by external vendors such as Microsoft, Bitdefender, Acronis, Google, or other software/cloud providers.

  • Emergency/After-Hours Support: Support provided outside standard business hours, or performed with under 24 hours notice, subject to availability and additional fees.

Scope of Services

VaBeachTech provides a variety of IT services, including but not limited to:

  • Managed IT services

  • Remote and onsite technical support

  • Network setup and troubleshooting

  • Cybersecurity tools, antivirus, and endpoint protection

  • Backup configuration and monitoring

  • Software installation and maintenance

  • IT consulting and advisory services

  • Technology planning and recommendations

  • Digital media conversion (photos, videotapes, etc.)

  • Specific service details may be outlined in separate agreements, proposals, or invoices. In the event of a conflict, signed agreements override these general Terms.

Client Responsibilities

To effectively provide services, the Client agrees to:

  • Provide accurate information, access credentials, and necessary permissions

  • Maintain physical security of equipment

  • Keep all software not provided by VaBeachTech legally licensed

  • Notify VaBeachTech promptly of issues or changes

  • Ensure stable power and internet when required

  • Follow best-practice security recommendations including but not limited to Multi-Factor Authentication

  • Ensure backups if not included as a managed service

  • Authorize employees or agents who may request support

  • VaBeachTech is not liable for delays, service failures, or data loss caused by the Client’s failure to meet these responsibilities.

Fees & Billing

  • Invoices are due upon receipt unless otherwise stated.

  • Managed services and subscription-based items may be billed monthly or annually, and may renew automatically.

  • Setup, onboarding, or project fees are due prior to service delivery unless otherwise arranged.

  • Payments made by credit/debit card may incur processor fees depending on the platform used.

  • VaBeachTech may suspend service for unpaid invoices after reasonable notice.

  • Fees for third-party services (Microsoft, Bitdefender, Acronis, Google Workspace, etc.) are non-refundable and billed according to vendor rules.

  • After-hours or emergency support may incur additional costs.

  • Late payments more than 7 calendars days will incur a 5% fee unless written exception is made by VaBeachTech.

Refunds & Cancellations

  • All services already delivered are non-refundable.

  • Third-party licenses and subscriptions are non-refundable once activated.

  • Clients may cancel recurring services with written notice in accordance with the service agreement.

  • Upon cancellation, all access, monitoring, security tools, and backups will be discontinued.

  • Offboarding work may incur a one-time fee depending on the environment.

  • Pausing a service does not guarantee data retention.

Service Availability & Response Times

VaBeachTech provides services during standard business hours unless otherwise specified. Response times are best-effort unless a signed Service Level Agreement (SLA) is in place.

VaBeachTech does not guarantee:

  • 24/7 live support

  • Immediate emergency response unless arranged between VabeachTech and the Client

  • Onsite availability without scheduling

  • Emergency or after-hours service is billed at a higher rate and is subject to availability.

Use of Third-Party Vendors

VaBeachTech utilizes third-party software and cloud providers. The Client understands that:

  • VaBeachTech is not responsible for outages, bugs, downtime, or security issues caused by these providers.

  • Refunds for third-party services follow the vendor’s policies.

  • VaBeachTech does not control feature changes, pricing changes, or service availability from third-party vendors.

No Guarantee of Security

While VaBeachTech follows industry best practices, no IT provider can guarantee 100% protection from cyber threats. The Client acknowledges that:

  • Cyberattacks, malware, ransomware, and breaches can occur even with proper security tools

  • VaBeachTech provides risk-mitigation, not absolute prevention

  • The Client must follow recommended cybersecurity steps, including updates, MFA, and safe usage practices

  • The Client is responsible for any security incidents caused by negligence or unauthorized changes

Backup & Data Responsibility

Backups are included only if explicitly listed in the Client’s service plan. If VaBeachTech manages backups:

  • We will monitor backup status and attempt to resolve failures

  • We do not guarantee successful backups or restorations

  • We are not responsible for data lost due to device failure, user error, or third-party issues

If the Client is responsible for backups:

  • All data protection responsibility rests solely with the Client

  • VaBeachTech is not liable for data loss, corruption, or failed restore attempts

Limitation of Liability

To the maximum extent permitted by Virginia law:

  • VaBeachTech is not liable for lost profits, lost data, downtime, or consequential damages

  • VaBeachTech is not liable for issues caused by third-party vendors

  • VaBeachTech is not liable for client errors, misuse, unauthorized access, or unapproved changes

  • VaBeachTech’s services are provided “as-is” and “as-available”

Indemnification

The Client agrees to indemnify and hold harmless VaBeachTech from any claims, damages, or costs arising from:

  • Misuse of systems

  • Unauthorized changes

  • Illegal activity

  • Violations of software licensing

  • Security incidents caused by negligence by the Client, or anyone else not affiliated with VaBeachTech

  • Actions taken by third parties using the Client’s access

Termination

Either party may terminate services with written notice per the applicable service agreement. Upon termination:

  • All invoices must be paid in full

  • Access and services will be disabled

  • Offboarding support may be billed at the standard hourly rate

  • VaBeachTech is not responsible for storing or migrating data unless contracted to do so

Privacy Policy

VaBeachTech may collect basic client information such as names, emails, device details, and usage logs solely for the purpose of providing support.

  • VaBeachTech does not sell customer data

  • VaBeachTech uses commercially reasonable security practices

  • Data may be shared with trusted third-party vendors only when required to deliver services

  • Clients may request that data be deleted when legally permissible

  • Any information held by VaBeachTech may be provided to law enforcement upon being issued a court order.

  • Any illegal content found by VaBeachTech during the course of our duties

Governing Law

  • These Terms are governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
